Welcome With Pride Limited Terms & Conditions

  1. Introduction

The following terms and conditions apply to any entities accredited through or undertaking any of Welcome With Pride Ltd’s training or accreditation programs.

These terms ensure the integrity of our programs and foster the highest standards in LGBTIQ+ inclusive tourism.

  1. Confidential Information

Confidential information includes all information related to the Permitted Purpose, whether in a Document or provided orally, including but not limited to, Welcome With Pride’s access to the online accreditation portal, program criteria and standards, templates, Welcome With Pride’s access to training, training resources, and other resources intended for use in conjunction with Welcome With Pride’s programs.

Participants:

(a) acknowledge the confidential, sensitive, and proprietary nature of the Confidential Information and that it is valuable to Welcome With Pride; and

(b) agree to keep confidential, and not directly or indirectly divulge or communicate or otherwise disclose the Confidential Information, in whole or part, to any third party; and

(c) must return or securely destroy all Confidential Information upon request, unless otherwise agreed in writing by Welcome With Pride; and

(d) must ensure that access to Confidential Information is limited to authorized personnel only, on a strict “need-to-know” basis, and that these personnel agree to equivalent confidentiality obligations.

  1. Use of Confidential Information

Participants must not:

(a) use any Confidential Information for purposes other than those explicitly authorized by Welcome With Pride;

(b) exploit the Confidential Information for their own benefit, for the benefit of any other person, or for any other purpose, or allow any other person to do so without the prior written consent of Welcome With Pride;

(c) use any of the Confidential Information in a manner or for a purpose detrimental to Welcome With Pride or its related bodies corporate;

(d) use any Confidential Information that has been returned to Welcome With Pride (unless express permission is granted in writing by Welcome With Pride to continue using that Confidential Information); or

(e) allow the unauthorized distribution, sharing, or copying of training resources, materials, or access links, whether to employees, third parties, or external entities.

  1. Protection of Confidential Information

Participants must:

(a) maintain effective control of all Confidential Information received;

(b) take all precautions that are reasonably necessary to prevent any theft, loss, or unauthorized use or disclosure of that Confidential Information; and

(c) promptly inform Welcome With Pride of any suspected or actual unauthorized use or disclosure of Welcome With Pride’s Confidential Information.

  1. Authorized Recipients

Participants may disclose the Confidential Information to its directors, officers, agents, employees, advisers, consultants, and financiers on a strictly “need to know” basis provided that:

(a) these persons are under equivalent confidentiality obligations;

(b) Participants ensure compliance by these persons with the terms and conditions of Welcome With Pride;

(c) and a breach of such a term or condition by such a person shall be regarded as a breach by the Participant.

Training Licenses:
For individual training licenses, only the named purchaser is authorized to access and use the training materials. Sharing training content with employees or third parties without prior written consent or additional license purchases is strictly prohibited.

  1. Security and Privacy

Welcome With Pride will treat as strictly confidential all Confidential Information (other than information in the public domain) acquired by Welcome With Pride in the course of delivering Accreditation and other programs. We will take all reasonable steps to secure your personal information.

  1. Copyright and Intellectual Property

Welcome With Pride Ltd’s programs, including training materials, accreditation standards, templates, and resources, are the intellectual property of Welcome With Pride Ltd and are protected under Australian copyright legislation and international copyright laws.

Participants agree to the following:

  1. Single License Use:
    • Each training license purchase provides a single, non-transferable license, valid for use by one individual only for a period of one year from the date of purchase.
    • Training materials, access links, and login credentials must not be shared, distributed, sublicensed, or transferred to any other person, including employees, colleagues, or external entities.
  2. Prohibited Actions:
    • Participants may not duplicate, publicly release, display, circulate, loan, translate, adapt, or modify any materials provided by Welcome With Pride Ltd. either for their own purposes or for a third party except where such use is permitted under copyright laws or permission is granted by Welcome With Pride Ltd through an access to intellectual property agreement.
    • Materials must not be used to train other individuals (e.g., staff or friends) without purchasing additional licenses or written consent.
    • Resources, including training content and accreditation materials, may not be used to develop, enhance, or support competing programs, directly or indirectly.
  3. Monitoring and Enforcement:
    • Welcome With Pride Ltd actively monitors access to its training materials and online portals to ensure compliance.
    • Unauthorized sharing, copying, or distribution of materials will result in immediate termination of access and may lead to legal action, including claims for damages, recovery of legal costs, and injunctive relief.
  4. Reservation of Rights:
    • All rights, title, and interest in the training and accreditation materials remain the exclusive property of Welcome With Pride Ltd. No implied licenses are granted unless explicitly authorized in writing.

        8. Logo Use

One of the benefits of accreditation and membership is the opportunity to display accreditation or membership logos. These serve both as a marketing tool and as a way to educate the traveler and help them to make informed choices.

Participants are not permitted to use the Welcome With Pride logos until they become accredited.

  1. Fee Policy

Participants are required to pay their first annual fee upon application. Subsequent annual fees are due on the anniversary of the application date.

Welcome With Pride reserves the right to modify fees and will provide participants with at least 30 days’ notice prior to the renewal date.

Refund Policy

  • Initial Fee: Participants may request a full refund within 30 days of payment. Refunds are not available beyond this period.
  • Annual Fees: Refunds of 50% are available if requested within the first 3 months of the renewal period. No refunds are available after this time.
  1. Continuous Improvement

Programs are subject to regular updates to reflect evolving industry standards. Participants will be notified of significant changes.

  1. Complaints and Compliance Management

Participants are required to cooperate with any complaints or compliance investigations conducted by Welcome With Pride. Failure to address identified gaps within the stipulated timeframe may result in suspension or revocation of accreditation.

  1. Termination and Breach

Welcome With Pride Ltd reserves the right to terminate this agreement and withdraw any rights granted under this agreement at its absolute discretion, including but not limited to the following reasons:

  1. For Training Participants:
    • Sharing training links, login credentials, or training content with others.
    • Using materials to train or educate other individuals without purchasing additional licenses or written consent.
  2. For Accredited Organizations:
    • Sharing accreditation-related materials or resources with unauthorized individuals or entities.
    • Using accreditation resources for purposes unrelated to maintaining accreditation.
    • Failure to comply with accreditation criteria
  3. General Breaches (Applies to All):
    • Unauthorized sharing, reproduction, copying, distribution, or modification of proprietary materials.
    • Breach of confidentiality or misuse of intellectual property.
    • Multiple unresolved complaints.
    • Failure to meet payment obligations.
    • Any actions deemed detrimental to Welcome With Pride Ltd’s reputation.

Termination notices will outline the reasons for termination and any corrective actions required to reinstate accreditation.

Upon termination, Participants must immediately cease all use of training and accreditation materials and return or securely destroy all copies. Unauthorized use or distribution of materials may result in legal action, including recovery of damages and injunctive relief.

  1. Agreement Modifications

Welcome With Pride Ltd reserves the right to modify these terms and conditions at any time as appropriate and may provide participants with notice of modification. Such modification will be effective immediately upon sending or posting of the modified terms and conditions.

  1. Governing Law

This agreement shall be governed by and construed in accordance with the laws of Australia.
